Across the Sempra family of companies, we continue to make strides toward our mission to be North America’s premier energy infrastructure company. Our employees are essential to this mission. Earlier today, we were excited to announce a series of integrated transactions intended to simplify our unregulated energy infrastructure investments under one platform – creating scale, unlocking portfolio synergies and better positioning the business for growth.

First, we intend to form a new business platform that will unify ownership of Sempra LNG, a leading developer of U.S. liquefied natural gas (LNG) export infrastructure, and IEnova, one of the largest private energy infrastructure companies in Mexico, to form an exciting new company focused on the development and construction of LNG export capacity, natural gas infrastructure and renewable energy generation.

Second, to support this transaction, we also announced our intention to conduct a stock-for-stock exchange offer for the publicly traded shares of IEnova stock, with the Sempra exchange shares to be listed on the Mexican stock exchange. This is intended over time to consolidate all of IEnova’s ownership under Sempra.

In addition, we announced that we have initiated a process to sell a non-controlling interest in the new business platform intended to fund the company’s growth and highlight the value of this exciting new platform. Subject to the receipt of required


regulatory approvals and satisfaction of other customary conditions, we expect to finalize these transactions by the end of the first quarter of 2021.

We believe the new business platform will be well positioned to be a leader in the global energy transition. Additionally, we believe it will provide another foundation for innovation and potential investments in renewables, hydrogen, energy storage and carbon sequestration.

For our dedicated employees at Sempra LNG and IEnova, it’s important to note that we fully anticipate both companies to continue to manage their day-to-day operations.
